Utsource International Limited("UTSOURCE") operates the website located at www.utsource.net (the "site") to provide online access to information about products that available at UTSOURCE (the "product") and to facilitate purchase of Products (the "Service") . These Terms of Use, together with the Conditions of Order, are referred to as this "Agreement" By using Utsource, you agree to each of the following terms and conditions set forth herein ("Terms of Use"). By ordering Products, you agree to the Terms of Use, as well as the Conditions of Order, set forth below. UTSOURCE reserves the right to modify this Agreement at any time without giving you prior notice. Your use of the Site following any such modification constitutes your agreement to follow and be bound by the Agreement as modified. The last date this Agreement was revised is set forth below.

1. Intellectual Property.

The Service, the Site, and all information and/or content that you see, hear or otherwise experience on the Site (the "Content") are protected by Singapore and international copyright, trademark and other laws, and belong to UTSOURCE or its parent, partners, affiliates, contributors or third parties. UTSOURCE grants you a personal, non-transferable, non-exclusive license to use the Site, the Service and the Content to print, download and store portions of the Content that you select, provided that you: (1) only use these copies of the Content for your own internal business purposes or your personal, non-commercial use; (2) do not copy or post the Content on any network computer or transmit, distribute, or broadcast the Content in any media; (3) do not modify or alter the Content in any way, or delete or change any copyright or trademark notice. No right, title or interest in any downloaded Content or materials is transferred to you as a result of this license. UTSOURCE reserves complete title and full intellectual property rights in any Content you download from the Site, subject to this limited license for you to make personal use of the Content as set forth herein. You may not use any of the marks or logos appearing throughout the Site without express written consent from the trademark owner, except as permitted by applicable law. You may not mirror, scrape, or frame the home page or any other pages of this Site on any other Web site or web page. You may not connect "deep links" to the Site, i.e., create links to this site that bypass the home page or other parts of the Site without written permission .

2. Disclaimer of Warranties.

UTSOURCE makes no express, implied warranties or representations with respect to any product, or with respect to the site, the service or the content. UTSOURCE expressly disclaims all warranties of any kind, express, implied, statutory or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and no infringement with regard to the products, the site, the service, and the content. UTSOURCE does not warrant what the functions performed by the site or the service will be uninterrupted, timely, secure or error-free, or that defects in the site or the service will be corrected. UTSOURCE does not warrant the accuracy or completeness of the content, or that any errors in the content will be corrected. The site, the service and the content are provide on an" As is" and "as available" basis.

At utsource, visitors IP addresses are periodically reviewed and analyzed for the purpose of monitoring, and effectively improving our Web site only, and they will not be shared outside utsource.

During a web site visit, we may ask you for contact information (email address, telephone number, fax number and addresses for shipping/billing). This information is collected on a voluntary basis—and only with your approval.

3. Limitation of Liability.

In no event shall UTSOURCE be liable to the buyer or to any third party for any indirect, incidental, special, consequential, punitive or exemplary damages(including without limitation lost profits, lost savings, or loss of business opportunity)arising out of or relating to (I) Any product or service provide or to be provided by UTSOURCE, or the use of inability to use the same; (II) The use of or inability to use the site, the service, or the content, (III) Any transaction conducted through or facilitated by the site; (IV) Any claim attributable to errors, omissions, or other inaccuracies in the site, the service and/or the content; (V) Unauthorized access to or alliteration of your transmissions or data, (VI) Statements or conduct of any third party on the site or the service; (VII) Any other matter relating to the products, the site, the service or the content, even if UTSOURCE has been advised of the possibility of such damages.

4. ELECTRONIC COMMUNICATIONS.

When you use Utsource Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other Utsource Services, such as our Message Center, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

UTSOURCE's sole obligation and liability for product defects shall be, at UTSOURCE's option, to replace such defective product or refund to customer the amount paid by customer therefore in no event shall UTSOURCE's liability exceed the buyer's purchase price. The foregoing remedy shall be subject to buyer's written notification of defect and return of the defective product within sixty (60) days of purchase. The foregoing remedy does not apply to products that have been subjected to misuse (including without limitation static discharge), neglect, accident or modification, or to products that have been soldered or altered during assembly, or are otherwise not capable of being tested. If you are dissatisfied with the site, the service, the content, or with the terms of use, your sole and exclusive remedy is to discontinue using the site. You acknowledge, by your use of the site, that your use of the site is at your sole risk.

Conditions of Order

All orders placed via the Site or via the print catalog are subject to the terms of this Agreement, including the following Conditions of Order. No change, alteration, deletion or modification of any of this Agreement is permitted without written permission by an authorized UTSOURCE representative. Any purported change submitted by a purchaser in any additional documentation is hereby expressly rejected. Orders placed on forms deviating from these terms and conditions may be accepted, but solely on the basis that the terms of this Agreement will prevail.

1. Order Validation and Acceptance.

When you place an order, we may verify your method of payment, shipping address and/or tax exempt identification number, if any, before processing your order. Your placement of an order via the Site is an offer to purchase our Products. UTSOURCE may accept your order by processing your payment and shipping the Product, or may, for any reason, decline to accept your order or any part of your order. No order shall be considered to be accepted by UTSOURCE until the Product has been shipped. If we decline to accept your order, we will attempt to notify you using the email address or other contact information you have provided with your order.

2. Electronic Communication.

When you place an order via the Site, you are required to provide a valid email address, which we may use to communicate with you regarding the status of your order, advise you regarding shipment of backordered products, and to provide you with any other notices, disclosures or other communications relating to your order. You agree that UTSOURCE will not be responsible for any damage you incur, or information you do not receive, as a result of your failure to provide a valid email address.

3. Pricing.

UTSOURCE Website quotation and related services are only been calculated in U.S. dollars and settlement of the currency, if the U.S. currency is not within the scope of the use of national or regional customers, please exchange rate for the corresponding conversion according to their own countries or regions. All prices are in U.S. dollars.

4. Product Information.

UTSOURCE website type of product, product description and parameters, the relevant pictures, video and other information are provided by Internet and relevant suppliers, UTSOURCE website do not shoulder the responsibility for the information's accuracy, integrity, legality or authenticity. In addition, UTSOURCE website or any use or provide information businesses and their risks on this website do not shoulder any responsibility.

5. Payment.

UTSOURCE offers the several convenient payment methods by US dollars, including PAYPAL, Credit Card, Master Card, VISA, American Express, Western Union, Wire Transfer. Payment must be made in the currency in which the order was placed. If you have other payment terms, please contact UTSOURCE customer service: sales@utsource.net.

6. Shipping Charges.

Shipping or freight charges, insurance and destination customs duties will be paid by the customers.Transportation of goods is committed by international freight forwarding company which is commissioned by the UTSOURCE. Customers pay the freight cost to international freight forwarding company through UTSOURCE. You understand and agree that in order to facilitate convenient transactions and increase logistics efficiency, UTSOURCE, in its own name, entrusts the international freight forwarding company to transport the goods you purchased on UTSOURCE. You understand and agree that the related party of UTSOURCE or any freight forwarder commissioned by UTSOURCE will be able to use your order information during the transportation phase.The freight cost you pay is the full price charged by the international freight forwarding company. UTSOURCE only collects the freight cost and settle with the international freight forwarding company. Utsource only provides technical and settlement convenience for this purpose, we don't prepay the freight cost incurred by your order.

7. Banking fee.

For wire transfer we charge US$15.00 banking fee, for PAYPAL and Credit Card we charge 3.5% service fee of total amount, for western union there no banking fee.

8. Handling Charge.

There is no minimum order or handling fee.

9. Freight Damage and Return Policy.

If you receive merchandise that has been damaged in transit, it is important to keep the shipping carton, packing material and parts intact. Please contact UTSOURCE customer service immediately to initiate a claim. All returns should be made within 90 days of date of invoice and be accompanied by the original invoice number, certificate of guarantee card, part's picture and a brief explanation or test report of the reason for the return. Returns will not be accepted after 90 days. Returned merchandise must be in original packaging and in resalable condition. Parts returned due to customer error at time of quote or sale will not be accepted.

10. Customs problem.

Utsource quotations are FOB price, we do not responsible for destination countries customs clearance.

If customer's parts were detained or seized by customer's local customs, utsource can provide some documents for customers, but utsource do not responsible for customs clearance, utsource do not pay customs fee, it's all customer's duty to clear the parts from customer's local customs.

Utsource will not ship again if parts were detained or seized in customer's local customs, there no refund of the payment.

11. Duties and responsibilities.

Utsource is a professional B2B and B2C trading platform, and we can only inspect the exterior condition of the goods, but not inner function. Returns within 90 days will be accepted, however, customers have no rights to prosecute Utsource for nonfunctional goods, also have no right to ask extra compensate. Utsource is a service platform, we are not manufacturers, we are just supply the service, help customer to purchase the products which they need. Utsource reserve the right of final explanations.
